NOTICE OF SPECIAL MEETING OF THE MEMBERS
A Special Meeting of the Members of Basketball Hawthorn Inc. (BH) will be held:
Monday 31 August 2020 at 7:00pm
via Video-conference (Zoom) – Details to be provided
The Constitution of the Basketball Hawthorn (adopted December 2019) is available in a link below.
The special business of the Meeting shall be –
(a) Special Resolution A – Appointment of New Auditors (see attached Special Resolution – Explanatory Memorandum);
(b) Special Resolution B – Amend the BH Constitution (see attached Special Resolution – Explanatory Memorandum);
Special Resolution A – Appointment of New Auditors
The following resolution is proposed:
‘It is proposed to change the appointed Auditors for the 2019/20 Financial Year to Accru Melbourne (Audit) Pty Ltd’.
Special Resolution B – Amend the BH Constitution
The following resolution is proposed:
‘It is proposed to amend the BH Constitution (as per Explanatory Memorandum)’.
i. Add a new Rule 13(6)
Annual General Meetings may be conducted electronically so that each attendee is able to see and hear all other attendees. Attendees present in any such electronic meeting shall be deemed to be physically present for the meeting.
ii. Add a new Rule 14(9)
Special General Meetings may be conducted electronically so that each attendee is able to see and hear all other attendees. Attendees present in any such electronic meeting shall be deemed to be physically present for the meeting.
Proposed by BH Board Under Rule 6, in accordance with the Associations Incorporation Reform Act 2012 (Vic), amendments to the Constitution of the Association or Special Resolutions will only be passed if at least 75 per cent of the members who vote at the meeting vote in favour of any resolution to change the Constitution.

The Secretary must also be notified of the nominated voting delegate for each member club or representative section prior to the commencement of the Special Meeting. No proxy or postal votes are allowed.
